LICENSOR\u003c\/h1\u003e\n\u003cp\u003eFor the purposes of this Agreement:\u003c\/p\u003e\n\u003cp\u003e\u003cstrong\u003eLicensor:\u003c\/strong\u003e Home Stitchery Decor\u003c\/p\u003e\n\u003cp\u003eHome Stitchery Decor retains all copyright, intellectual-property rights and ownership rights in the Licensed Designs and associated digital files.\u003c\/p\u003e\n\u003chr\u003e\n\u003ch1\u003e2. LICENSEE\u003c\/h1\u003e\n\u003cp\u003eThe “Licensee” is the individual or legal business entity identified as the purchaser of this Commercial Use Licence.\u003c\/p\u003e\n\u003cp\u003eThis licence applies to \u003cstrong\u003eone individual or one business entity only\u003c\/strong\u003e.\u003c\/p\u003e\n\u003cp\u003eA licence purchased by one individual, business, shop, corporation or other entity may not be transferred to or shared with another person or business.\u003c\/p\u003e\n\u003chr\u003e\n\u003ch1\u003e3. LICENSED DESIGNS\u003c\/h1\u003e\n\u003cp\u003e“Licensed Designs” means only the Home Stitchery Decor digital card design or designs that:\u003c\/p\u003e\n\u003col\u003e\n\u003cli\u003e\n\u003cp\u003ewere lawfully purchased directly from Home Stitchery Decor or an authorized Home Stitchery Decor sales channel;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003eare owned by the same individual or business that purchased this Commercial Use Licence; and\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003eare specifically associated with the product, collection or qualifying design purchase to which this Commercial Use Licence applies.\u003c\/p\u003e\n\u003c\/li\u003e\n\u003c\/ol\u003e\n\u003cp\u003eIf you purchased an individual card design, this Commercial Use Licence applies only to that individual design.\u003c\/p\u003e\n\u003cp\u003eIf you purchased a Home Stitchery Decor card-design bundle or collection and purchased the corresponding Commercial Use Licence for that bundle or collection, the licence applies to the designs included in that purchased bundle or collection at the time of purchase.\u003c\/p\u003e\n\u003cp\u003e\u003cstrong\u003eThis licence does not automatically apply to future Home Stitchery Decor designs, future collections, later releases or designs obtained from another person.\u003c\/strong\u003e\u003c\/p\u003e\n\u003cp\u003eSeparate purchases or additional licences may be required for additional designs.\u003c\/p\u003e\n\u003chr\u003e\n\u003ch1\u003e4. OWNERSHIP OF THE DESIGNS\u003c\/h1\u003e\n\u003cp\u003ePurchase of this Commercial Use Licence grants you limited permission to use the Licensed Designs under the conditions stated in this Agreement.\u003c\/p\u003e\n\u003cp\u003eIt does \u003cstrong\u003enot\u003c\/strong\u003e transfer copyright or ownership of the Licensed Designs to you.\u003c\/p\u003e\n\u003cp\u003eHome Stitchery Decor retains all right, title and interest in:\u003c\/p\u003e\n\u003cul\u003e\n\u003cli\u003e\n\u003cp\u003ethe original artwork;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003eSVG files;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003ePNG files;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003eDXF files;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003eEPS files;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003eAI files;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003ederivative digital versions created from those files;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003edesign elements;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003eartwork arrangement;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003eassociated graphics; and\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003eall other copyrightable elements of the Licensed Designs.\u003c\/p\u003e\n\u003c\/li\u003e\n\u003c\/ul\u003e\n\u003cp\u003eYou are purchasing a \u003cstrong\u003elicence to use the designs\u003c\/strong\u003e, not ownership of the designs.\u003c\/p\u003e\n\u003chr\u003e\n\u003ch1\u003e5. COMMERCIAL LICENCE LEVELS\u003c\/h1\u003e\n\u003cp\u003eYour permitted production quantity depends on the Commercial Use Licence level purchased.\u003c\/p\u003e\n\u003ch2\u003eLEVEL 1 — SMALL BUSINESS COMMERCIAL LICENCE\u003c\/h2\u003e\n\u003cp\u003e\u003cstrong\u003ePrice: $49.99 CAD\u003c\/strong\u003e\u003c\/p\u003e\n\u003cp\u003ePermits the Licensee to produce and commercially distribute up to:\u003c\/p\u003e\n\u003cp\u003e\u003cstrong\u003e500 finished physical greeting cards total\u003c\/strong\u003e\u003c\/p\u003e\n\u003cp\u003eusing the Licensed Designs.\u003c\/p\u003e\n\u003chr\u003e\n\u003ch2\u003eLEVEL 2 — PROFESSIONAL COMMERCIAL LICENCE\u003c\/h2\u003e\n\u003cp\u003e\u003cstrong\u003ePrice: $124.99 CAD\u003c\/strong\u003e\u003c\/p\u003e\n\u003cp\u003ePermits the Licensee to produce and commercially distribute up to:\u003c\/p\u003e\n\u003cp\u003e\u003cstrong\u003e2,500 finished physical greeting cards total\u003c\/strong\u003e\u003c\/p\u003e\n\u003cp\u003eusing the Licensed Designs.\u003c\/p\u003e\n\u003chr\u003e\n\u003ch2\u003eLEVEL 3 — EXTENDED COMMERCIAL LICENCE\u003c\/h2\u003e\n\u003cp\u003e\u003cstrong\u003ePrice: $299.99 CAD\u003c\/strong\u003e\u003c\/p\u003e\n\u003cp\u003ePermits the Licensee to produce and commercially distribute up to:\u003c\/p\u003e\n\u003cp\u003e\u003cstrong\u003e10,000 finished physical greeting cards total\u003c\/strong\u003e\u003c\/p\u003e\n\u003cp\u003eusing the Licensed Designs.\u003c\/p\u003e\n\u003chr\u003e\n\u003ch2\u003eENTERPRISE \/ MANUFACTURING LICENCE\u003c\/h2\u003e\n\u003cp\u003eProduction exceeding \u003cstrong\u003e10,000 finished physical greeting cards\u003c\/strong\u003e requires a separate written Enterprise or Manufacturing Licence issued directly by Home Stitchery Decor.\u003c\/p\u003e\n\u003cp\u003ePricing and terms will be determined individually.\u003c\/p\u003e\n\u003cp\u003ePurchase of multiple lower-level licences does not automatically create an Enterprise Licence.\u003c\/p\u003e\n\u003chr\u003e\n\u003ch1\u003e6. HOW PRODUCTION LIMITS ARE CALCULATED\u003c\/h1\u003e\n\u003cp\u003eProduction limits apply to the \u003cstrong\u003etotal combined number of finished physical cards produced using all designs covered by the applicable licence\u003c\/strong\u003e, not to each design separately.\u003c\/p\u003e\n\u003cp\u003eFor example:\u003c\/p\u003e\n\u003cp\u003eIf your licence covers 12 Christmas card designs and permits 500 finished cards, you may produce a total of 500 cards across those 12 designs.\u003c\/p\u003e\n\u003cp\u003eYou may choose how that quantity is divided.\u003c\/p\u003e\n\u003cp\u003eFor example:\u003c\/p\u003e\n\u003cul\u003e\n\u003cli\u003e\n\u003cp\u003e500 of one design;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003e250 each of two designs;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003eapproximately 42 each of 12 designs; or\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003eany other combination;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003c\/ul\u003e\n\u003cp\u003eprovided that the total number of commercially produced cards does not exceed your licence limit.\u003c\/p\u003e\n\u003cp\u003eEach finished physical card counts as \u003cstrong\u003eone unit\u003c\/strong\u003e.\u003c\/p\u003e\n\u003cp\u003eCards produced for:\u003c\/p\u003e\n\u003cul\u003e\n\u003cli\u003e\n\u003cp\u003eretail sale;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003ewholesale sale;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003ecraft-market sale;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003eonline sale;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003ebusiness promotion;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003ecommercial giveaways;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003ecustomer promotions; or\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003eother business-related distribution\u003c\/p\u003e\n\u003c\/li\u003e\n\u003c\/ul\u003e\n\u003cp\u003ecount toward the applicable production limit.\u003c\/p\u003e\n\u003cp\u003eReasonable test cuts, prototypes and samples retained by the Licensee and not sold or commercially distributed do not count toward the production limit.\u003c\/p\u003e\n\u003chr\u003e\n\u003ch1\u003e7. PERMITTED COMMERCIAL USE\u003c\/h1\u003e\n\u003cp\u003eSubject to all other terms of this Agreement, the Licensee may use the Licensed Designs to create and sell \u003cstrong\u003efinished physical greeting cards\u003c\/strong\u003e.\u003c\/p\u003e\n\u003cp\u003ePermitted sales channels include:\u003c\/p\u003e\n\u003cul\u003e\n\u003cli\u003e\n\u003cp\u003ethe Licensee's own website;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003eShopify;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003eEtsy;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003eother legitimate online marketplaces;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003ecraft markets;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003efarmers markets;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003eartisan markets;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003etrade shows;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003efairs;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003ein-person retail;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003esocial-media sales;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003ewholesale sales to legitimate retailers; and\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003eother lawful sales channels for finished physical cards.\u003c\/p\u003e\n\u003c\/li\u003e\n\u003c\/ul\u003e\n\u003cp\u003eRetailers purchasing completed cards from the Licensee may resell those physical cards to end customers.\u003c\/p\u003e\n\u003cp\u003eThe retailer receives \u003cstrong\u003eno rights whatsoever to the underlying digital design files\u003c\/strong\u003e.\u003c\/p\u003e\n\u003chr\u003e\n\u003ch1\u003e8. PHYSICAL PRODUCTS ONLY\u003c\/h1\u003e\n\u003cp\u003eThis licence permits the commercial sale of \u003cstrong\u003efinished physical greeting cards only\u003c\/strong\u003e.\u003c\/p\u003e\n\u003cp\u003eIt does not authorize the commercial sale or distribution of digital products.\u003c\/p\u003e\n\u003cp\u003eThe Licensed Design must be incorporated into a finished tangible greeting card before it may be sold under this licence.\u003c\/p\u003e\n\u003chr\u003e\n\u003ch1\u003e9. DIGITAL RESALE IS STRICTLY PROHIBITED\u003c\/h1\u003e\n\u003cp\u003eUnder no circumstances may the Licensee:\u003c\/p\u003e\n\u003cul\u003e\n\u003cli\u003e\n\u003cp\u003esell the original digital files;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003eresell the original digital files;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003eshare the digital files;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003egive the digital files away;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003etrade the digital files;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003esublicense the digital files;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003eredistribute the digital files;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003etransfer the digital files;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003elend the digital files;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003eupload the digital files for others to access;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003einclude the digital files with the sale of a finished card;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003eprovide the digital files to customers;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003eprovide download access to the digital files;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003ecreate a digital bundle containing the files; or\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003eotherwise make the files available to any third party.\u003c\/p\u003e\n\u003c\/li\u003e\n\u003c\/ul\u003e\n\u003cp\u003eThese restrictions apply to all supplied formats, including but not limited to:\u003c\/p\u003e\n\u003cp\u003e\u003cstrong\u003eSVG, PNG, DXF, EPS and AI.\u003c\/strong\u003e\u003c\/p\u003e\n\u003chr\u003e\n\u003ch1\u003e10. CONVERTED OR MODIFIED DIGITAL FILES\u003c\/h1\u003e\n\u003cp\u003eYou may not avoid the restrictions of this licence by converting, flattening, tracing, redrawing, modifying or exporting the Licensed Designs into another file format.\u003c\/p\u003e\n\u003cp\u003eFor example, you may not:\u003c\/p\u003e\n\u003cul\u003e\n\u003cli\u003e\n\u003cp\u003econvert an SVG into a PNG and sell the PNG;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003econvert an AI file into an EPS and sell the EPS;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003eflatten the artwork into a JPG or PDF and sell it;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003etrace the artwork and sell the traced version;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003echange colours and sell the altered digital file;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003echange text and sell the altered digital file;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003erearrange elements and sell the resulting digital design; or\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003ecreate a substantially similar digital file based upon the Licensed Design for resale.\u003c\/p\u003e\n\u003c\/li\u003e\n\u003c\/ul\u003e\n\u003cp\u003eModified versions remain subject to this Agreement.\u003c\/p\u003e\n\u003chr\u003e\n\u003ch1\u003e11. REASONABLE MODIFICATIONS FOR PHYSICAL PRODUCTION\u003c\/h1\u003e\n\u003cp\u003eThe Licensee may make reasonable adjustments to the Licensed Design when necessary to create a finished physical card.\u003c\/p\u003e\n\u003cp\u003ePermitted adjustments may include:\u003c\/p\u003e\n\u003cul\u003e\n\u003cli\u003e\n\u003cp\u003eresizing;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003echanging cardstock colours;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003eselecting different compatible materials;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003eadjusting cutting settings;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003emaking minor positioning changes;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003emaking assembly-related adjustments; and\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003emaking other reasonable modifications necessary to produce the physical greeting card.\u003c\/p\u003e\n\u003c\/li\u003e\n\u003c\/ul\u003e\n\u003cp\u003eThese permissions do not create ownership rights in the modified design.\u003c\/p\u003e\n\u003cp\u003eA modification does not transform the Licensed Design into a new design owned by the Licensee.\u003c\/p\u003e\n\u003chr\u003e\n\u003ch1\u003e12. NO PRINT-ON-DEMAND USE\u003c\/h1\u003e\n\u003cp\u003ePrint-on-demand use is \u003cstrong\u003enot permitted\u003c\/strong\u003e under this Commercial Use Licence.\u003c\/p\u003e\n\u003cp\u003eThe Licensed Designs may not be uploaded to or supplied to a print-on-demand service or platform for automated production or fulfillment.\u003c\/p\u003e\n\u003cp\u003eExamples include, but are not limited to, services that manufacture products after receiving customer orders.\u003c\/p\u003e\n\u003cp\u003eA separate written licence from Home Stitchery Decor is required for any print-on-demand use.\u003c\/p\u003e\n\u003chr\u003e\n\u003ch1\u003e13. NO THIRD-PARTY MANUFACTURING\u003c\/h1\u003e\n\u003cp\u003eThis licence is intended for small and growing businesses producing their own finished cards.\u003c\/p\u003e\n\u003cp\u003eThe Licensee may not provide the digital files to:\u003c\/p\u003e\n\u003cul\u003e\n\u003cli\u003e\n\u003cp\u003efactories;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003ecommercial manufacturers;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003emass-production facilities;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003eoutside production companies;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003eindependent contractors;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003efreelance designers;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003evirtual assistants;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003ethird-party print shops; or\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003eother third parties\u003c\/p\u003e\n\u003c\/li\u003e\n\u003c\/ul\u003e\n\u003cp\u003efor the purpose of reproducing or manufacturing the Licensed Designs.\u003c\/p\u003e\n\u003cp\u003eEnterprise or third-party manufacturing arrangements require prior written permission from Home Stitchery Decor.\u003c\/p\u003e\n\u003chr\u003e\n\u003ch1\u003e14. NO SUBLICENSING\u003c\/h1\u003e\n\u003cp\u003eThis licence may not be sublicensed.\u003c\/p\u003e\n\u003cp\u003eYou may not authorize another person or business to manufacture products under your licence.\u003c\/p\u003e\n\u003cp\u003eYou may not sell commercial rights to another person.\u003c\/p\u003e\n\u003cp\u003eYou may not include commercial rights to the Licensed Design with the sale of your business, equipment, inventory or customer list without prior written permission from Home Stitchery Decor.\u003c\/p\u003e\n\u003chr\u003e\n\u003ch1\u003e16. NO USE AS A TRADEMARK, LOGO OR BRAND IDENTITY\u003c\/h1\u003e\n\u003cp\u003eThe Licensed Designs may not be used as or incorporated into:\u003c\/p\u003e\n\u003cul\u003e\n\u003cli\u003e\n\u003cp\u003ea business logo;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003etrademark;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003eservice mark;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003ebusiness identity;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003ebrand identity;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003ecompany name;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003eproduct-line identity; or\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003eother source-identifying mark.\u003c\/p\u003e\n\u003c\/li\u003e\n\u003c\/ul\u003e\n\u003cp\u003eThe Licensee may not apply to register any Licensed Design, or any confusingly similar version of a Licensed Design, as a trademark, copyright owned by the Licensee or other intellectual-property right.\u003c\/p\u003e\n\u003chr\u003e\n\u003ch1\u003e18. NO CLAIM OF AUTHORSHIP OR OWNERSHIP\u003c\/h1\u003e\n\u003cp\u003eThe Licensee may not claim that they created, illustrated or designed the original Licensed Design.\u003c\/p\u003e\n\u003cp\u003eYou may describe the finished card as handmade or assembled by your business if that statement is accurate.\u003c\/p\u003e\n\u003cp\u003eYou may not represent the underlying artwork or digital design as your own original artwork.\u003c\/p\u003e\n\u003chr\u003e\n\u003ch1\u003e19. PRODUCT PHOTOGRAPHY\u003c\/h1\u003e\n\u003cp\u003eThe Licensee may photograph finished physical cards that they personally produce using the Licensed Designs.\u003c\/p\u003e\n\u003cp\u003eThose photographs may be used to market and sell the Licensee's finished physical cards.\u003c\/p\u003e\n\u003cp\u003eThe Licensee may not use Home Stitchery Decor's product photography, mockups, listing photographs, website images or marketing graphics unless Home Stitchery Decor expressly grants permission for that specific use.\u003c\/p\u003e\n\u003cp\u003ePurchase of a Commercial Use Licence does not automatically grant rights to Home Stitchery Decor photographs or marketing assets.\u003c\/p\u003e\n\u003chr\u003e\n\u003ch1\u003e20. CREDIT\u003c\/h1\u003e\n\u003cp\u003eCredit to Home Stitchery Decor is appreciated but is not required on each finished physical card unless otherwise expressly stated with a specific design.\u003c\/p\u003e\n\u003cp\u003eHowever, absence of credit does not transfer ownership or authorship of the underlying Licensed Design.\u003c\/p\u003e\n\u003chr\u003e\n\u003ch1\u003e21. SOCIAL MEDIA AND MARKETING\u003c\/h1\u003e\n\u003cp\u003eThe Licensee may display photographs of their own finished physical cards on:\u003c\/p\u003e\n\u003cul\u003e\n\u003cli\u003e\n\u003cp\u003esocial media;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003ewebsites;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003eonline stores;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003eadvertising;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003eemail marketing; and\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003eother legitimate promotional channels\u003c\/p\u003e\n\u003c\/li\u003e\n\u003c\/ul\u003e\n\u003cp\u003efor the purpose of selling the physical cards permitted by this licence.\u003c\/p\u003e\n\u003cp\u003eThe Licensee may not upload high-resolution digital source files or images that effectively allow another person to reconstruct, extract or download the original design.\u003c\/p\u003e\n\u003chr\u003e\n\u003ch1\u003e27. COMMERCIAL GIVEAWAYS AND PROMOTIONAL ITEMS\u003c\/h1\u003e\n\u003cp\u003eFinished physical cards may be given away as part of a business promotion, contest, marketing campaign or customer incentive.\u003c\/p\u003e\n\u003cp\u003eAny card distributed for a commercial or promotional purpose counts toward the applicable production limit.\u003c\/p\u003e\n\u003cp\u003eDigital files may never be used as a giveaway.\u003c\/p\u003e\n\u003chr\u003e\n\u003ch1\u003e28. PERSONAL GIFTS\u003c\/h1\u003e\n\u003cp\u003eUse of the Licensed Designs for genuine non-commercial personal gifts remains subject to the applicable Personal Use Licence and does not create additional commercial rights.\u003c\/p\u003e\n\u003chr\u003e\n\u003ch1\u003e29. PRODUCTION RECORDS\u003c\/h1\u003e\n\u003cp\u003eThe Licensee is responsible for monitoring the number of finished physical cards produced and commercially distributed.\u003c\/p\u003e\n\u003cp\u003eHome Stitchery Decor may, where there is a reasonable basis to believe the applicable production limit has been exceeded, request reasonable information sufficient to confirm compliance with the purchased licence level.\u003c\/p\u003e\n\u003cp\u003eThe Licensee agrees to maintain reasonable business records regarding commercial production quantities.\u003c\/p\u003e\n\u003chr\u003e\n\u003ch1\u003e30. EXCEEDING YOUR LICENCE LIMIT\u003c\/h1\u003e\n\u003cp\u003eThe Licensee must purchase the appropriate higher licence level \u003cstrong\u003ebefore exceeding the production limit\u003c\/strong\u003e of the current licence.\u003c\/p\u003e\n\u003cp\u003eProduction in excess of the purchased limit is unauthorized.\u003c\/p\u003e\n\u003cp\u003ePurchasing a higher-tier licence does not erase or excuse unauthorized production that occurred before the required licence was obtained.\u003c\/p\u003e\n\u003cp\u003eWhen upgrading, units previously produced under the lower-level licence count toward the production limit of the upgraded licence unless Home Stitchery Decor expressly agrees otherwise in writing.\u003c\/p\u003e\n\u003cp\u003eExample:\u003c\/p\u003e\n\u003cp\u003eIf you produce 400 cards under a 500-unit Small Business Licence and upgrade to the 2,500-unit Professional Licence, the 400 previously produced cards count toward the 2,500-unit total.\u003c\/p\u003e\n\u003chr\u003e\n\u003ch1\u003e31. LICENCE TERM\u003c\/h1\u003e\n\u003cp\u003eUnless terminated for breach, the Commercial Use Licence does not expire solely because a calendar year has ended.\u003c\/p\u003e\n\u003cp\u003eThe licence continues until:\u003c\/p\u003e\n\u003cul\u003e\n\u003cli\u003e\n\u003cp\u003ethe applicable production limit has been reached;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003ethe licence is terminated under this Agreement; or\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003ethe parties agree otherwise in writing.\u003c\/p\u003e\n\u003c\/li\u003e\n\u003c\/ul\u003e\n\u003cp\u003eOnce the applicable production limit is reached, additional commercial production requires an appropriate new or upgraded licence.\u003c\/p\u003e\n\u003chr\u003e\n\u003ch1\u003e32. TERMINATION FOR BREACH\u003c\/h1\u003e\n\u003cp\u003eHome Stitchery Decor may terminate this Commercial Use Licence if the Licensee materially breaches its terms and, where the breach is reasonably capable of being corrected, fails to correct the breach after receiving written notice and a reasonable opportunity to do so.\u003c\/p\u003e\n\u003cp\u003eCertain breaches may be incapable of meaningful correction, including unauthorized redistribution or resale of digital files.\u003c\/p\u003e\n\u003cp\u003eUpon termination:\u003c\/p\u003e\n\u003cul\u003e\n\u003cli\u003e\n\u003cp\u003eall commercial-use permission ends;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003ethe Licensee must stop producing new products using the Licensed Designs;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003ethe Licensee must stop distributing unauthorized products;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003ethe Licensee must delete unauthorized shared or distributed copies where within the Licensee's control; and\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003etermination does not eliminate any rights or remedies arising from conduct that occurred before termination.\u003c\/p\u003e\n\u003c\/li\u003e\n\u003c\/ul\u003e\n\u003chr\u003e\n\u003ch1\u003e33. DIGITAL FILE SECURITY\u003c\/h1\u003e\n\u003cp\u003eThe Licensee is responsible for taking reasonable steps to protect the Licensed Design files from unauthorized access.\u003c\/p\u003e\n\u003cp\u003eFiles should not be stored in publicly accessible folders or shared links.\u003c\/p\u003e\n\u003cp\u003eIf cloud storage is used for personal business backup, access must be private and restricted to the Licensee and other persons expressly permitted under this Agreement.\u003c\/p\u003e\n\u003chr\u003e\n\u003ch1\u003e34. LOSS, THEFT OR UNAUTHORIZED ACCESS\u003c\/h1\u003e\n\u003cp\u003eIf the Licensee becomes aware that the Licensed Design files have been stolen, publicly shared, improperly accessed or distributed without authorization, the Licensee should take reasonable steps to remove access and notify Home Stitchery Decor where appropriate.\u003c\/p\u003e\n\u003chr\u003e\n\u003ch1\u003e35. PURCHASE THROUGH THIRD PARTIES\u003c\/h1\u003e\n\u003cp\u003eA Commercial Use Licence is valid only where both the licence and the underlying Licensed Designs were lawfully obtained.\u003c\/p\u003e\n\u003cp\u003ePossession of a Home Stitchery Decor file does not establish that the file was lawfully purchased.\u003c\/p\u003e\n\u003cp\u003eFiles obtained through piracy, sharing groups, unauthorized sellers, file-sharing services or other unauthorized sources are not licensed.\u003c\/p\u003e\n\u003chr\u003e\n\u003ch1\u003e36. REFUNDS\u003c\/h1\u003e\n\u003cp\u003eBecause Commercial Use Licences and associated digital products provide immediate access to intellectual-property rights and\/or digital content, purchases are generally final once the licence or associated digital content has been delivered or accessed.\u003c\/p\u003e\n\u003cp\u003eThis provision does not limit any refund, cancellation or consumer right that cannot legally be excluded under applicable law.\u003c\/p\u003e\n\u003chr\u003e\n\u003ch1\u003e37. PRODUCT SAFETY AND BUSINESS COMPLIANCE\u003c\/h1\u003e\n\u003cp\u003eThe Licensee is solely responsible for:\u003c\/p\u003e\n\u003cul\u003e\n\u003cli\u003e\n\u003cp\u003ethe materials used to create their finished products;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003eworkmanship;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003eproduct quality;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003eproduct safety;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003elabelling;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003epackaging;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003etaxes;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003ebusiness licences;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003emarketplace rules;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003econsumer-protection obligations;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003eadvertising claims; and\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003ecompliance with laws applicable to the Licensee's business and sales territory.\u003c\/p\u003e\n\u003c\/li\u003e\n\u003c\/ul\u003e\n\u003cp\u003eHome Stitchery Decor is not the manufacturer or seller of the Licensee's finished physical cards.\u003c\/p\u003e\n\u003chr\u003e\n\u003ch1\u003e39. THIRD-PARTY RIGHTS\u003c\/h1\u003e\n\u003cp\u003eThis licence grants rights only to intellectual property owned or controlled by Home Stitchery Decor.\u003c\/p\u003e\n\u003cp\u003eThe Licensee remains responsible for ensuring that any additional fonts, photographs, graphics, phrases, trademarks, materials or other content that the Licensee independently adds to a finished product may lawfully be used.\u003c\/p\u003e\n\u003chr\u003e\n\u003ch1\u003e40. INDEMNIFICATION\u003c\/h1\u003e\n\u003cp\u003eTo the extent permitted by applicable law, the Licensee agrees to be responsible for claims, losses, liabilities or expenses arising from:\u003c\/p\u003e\n\u003cul\u003e\n\u003cli\u003e\n\u003cp\u003ethe Licensee's manufacture of finished products;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003ethe Licensee's sale or distribution of finished products;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003emodifications made by the Licensee;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003ematerials selected by the Licensee;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003erepresentations made by the Licensee to customers;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003eviolation of third-party rights caused by content added by the Licensee; or\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003ethe Licensee's breach of this Agreement.\u003c\/p\u003e\n\u003c\/li\u003e\n\u003c\/ul\u003e\n\u003chr\u003e\n\u003ch1\u003e41. LIMITATION OF LIABILITY\u003c\/h1\u003e\n\u003cp\u003eTo the fullest extent permitted by applicable law, Home Stitchery Decor will not be responsible for indirect, incidental, special or consequential losses resulting from the Licensee's commercial use of the Licensed Designs.\u003c\/p\u003e\n\u003cp\u003eNothing in this Agreement excludes liability or consumer rights that cannot legally be excluded.\u003c\/p\u003e\n\u003chr\u003e\n\u003ch1\u003e42. COPYRIGHT ENFORCEMENT\u003c\/h1\u003e\n\u003cp\u003eUnauthorized copying, resale, redistribution or commercial use outside the scope of this licence may constitute both breach of this Agreement and copyright infringement.\u003c\/p\u003e\n\u003cp\u003eHome Stitchery Decor reserves all rights and remedies available under applicable law.\u003c\/p\u003e\n\u003cp\u003eFailure by Home Stitchery Decor to immediately enforce a provision does not constitute a waiver of that provision or of the right to enforce it later.\u003c\/p\u003e\n\u003chr\u003e\n\u003ch1\u003e43. NO WAIVER\u003c\/h1\u003e\n\u003cp\u003eAny waiver of a term of this Agreement must be expressly provided by Home Stitchery Decor.\u003c\/p\u003e\n\u003cp\u003eFailure to enforce a term on one occasion does not waive the right to enforce the same or another term on a later occasion.\u003c\/p\u003e\n\u003chr\u003e\n\u003ch1\u003e44. SEVERABILITY\u003c\/h1\u003e\n\u003cp\u003eIf any provision of this Agreement is determined to be invalid, illegal or unenforceable, that provision will be interpreted or limited to the minimum extent necessary where legally permissible, and the remaining provisions will continue in effect.\u003c\/p\u003e\n\u003chr\u003e\n\u003ch1\u003e45. CHANGES TO THE LICENCE\u003c\/h1\u003e\n\u003cp\u003eThe version of the Commercial Use Licence in effect when the licence was purchased governs that purchase unless:\u003c\/p\u003e\n\u003cul\u003e\n\u003cli\u003e\n\u003cp\u003ethe Licensee voluntarily agrees to updated terms;\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003ean update expands the Licensee's rights without imposing additional obligations; or\u003c\/p\u003e\n\u003c\/li\u003e\n\u003cli\u003e\n\u003cp\u003eapplicable law requires otherwise.\u003c\/p\u003e\n\u003c\/li\u003e\n\u003c\/ul\u003e\n\u003cp\u003eHome Stitchery Decor may change the terms offered for future Commercial Use Licence purchases.\u003c\/p\u003e\n\u003chr\u003e\n\u003ch1\u003e46. GOVERNING LAW\u003c\/h1\u003e\n\u003cp\u003eTo the extent permitted by applicable law, this Agreement is governed by the laws of the Province of Alberta and the federal laws of Canada applicable in Alberta.\u003c\/p\u003e\n\u003cp\u003eSubject to mandatory laws that may apply in another jurisdiction, disputes relating to this Agreement will be submitted to the courts having jurisdiction in Calgary, Alberta, Canada.\u003c\/p\u003e\n\u003chr\u003e\n\u003ch1\u003e47. ENTIRE AGREEMENT\u003c\/h1\u003e\n\u003cp\u003eThis Commercial Use Licence, together with the applicable product listing, order confirmation and any written terms expressly incorporated into the purchase, constitutes the agreement concerning commercial use of the Licensed Designs.\u003c\/p\u003e\n\u003cp\u003eNo verbal statement or informal communication changes these terms unless Home Stitchery Decor expressly agrees to the change in writing.\u003c\/p\u003e\n\u003chr\u003e\n\u003ch1\u003e48.
